The short version: Use SimpleOrch for lawful purposes on infrastructure you own or are authorized to manage. Pay for what you use beyond the free tier. Don't reverse-engineer the software or share license tokens. We provide the software as-is without warranties. These terms govern your relationship with MW Consulting.

01 // Acceptance of Terms

By registering for an account, downloading SimpleOrch software, or using the SimpleOrch licensing portal, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use SimpleOrch software or services. We reserve the right to update these Terms at any time. Continued use of SimpleOrch after changes are posted constitutes your acceptance of the revised Terms.

02 // Definitions

  • Software — The SimpleOrch container orchestration platform, including the control plane, node agent, ingress components, and web portal, delivered as Docker container images.
  • Services — The SimpleOrch licensing portal, website, and any related support services provided by MW Consulting.
  • License Token — A cryptographically signed JWT issued by MW Consulting that activates and governs your use of the Software.
  • Node — A single server or virtual machine registered to a SimpleOrch control plane as a worker node.
  • Control Plane — The SimpleOrch management server identified by a unique installation UUID.
  • You / Customer — The individual or organization that has registered for a SimpleOrch account.

03 // License Grant

Subject to your compliance with these Terms and payment of applicable fees, MW Consulting grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Download and deploy the Software on infrastructure you own or are authorized to manage
  • Use the Software to manage the number of nodes permitted by your current license tier
  • Register up to three Control Plane serial numbers under a single license for high availability and disaster recovery purposes

This license does not include the right to distribute, resell, sublicense, or provide the Software as a hosted service to third parties without a separate written agreement with MW Consulting.

Free Tier: The Community tier license permits use of up to four nodes per Control Plane at no charge, with community-only support, for an unlimited period. Free tier licenses are issued per registered account.

04 // License Restrictions

You may not:

  • Exceed the node count permitted by your active license tier without upgrading your license
  • Share, transfer, or resell license tokens to any third party
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from the Software
  • Modify or create derivative works of the Software
  • Remove or alter any proprietary notices, labels, or marks in the Software
  • Use the Software to provide a competing orchestration service to third parties
  • Circumvent or disable any licensing enforcement mechanisms within the Software
  • Register false or misleading information when creating an account or registering a Control Plane serial number

Violation of these restrictions may result in immediate termination of your license and account without refund.

05 // Accounts and Registration

You must register for an account to use SimpleOrch, including the free tier. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@simpleorch.io if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period with no associated paid license.

06 // Fees and Payment

Paid license tiers are billed annually. All fees are stated in US dollars and are non-refundable except as described below or as required by applicable law.

Billing. Annual licenses are billed in advance for the full license year. Payment is processed via Stripe. By providing payment information, you authorize MW Consulting to charge your payment method for all fees due.

Renewals. Licenses renew automatically on their anniversary date unless you cancel before the renewal date through the licensing portal or by contacting support.

License Expiry. If a paid license expires or payment fails, the Control Plane will enter a 14-day grace period during which full functionality is maintained. After the grace period, the Control Plane enters read-only mode — existing deployments continue to run but no new changes can be made until the license is renewed.

Upgrades. License upgrades take effect immediately upon payment. You will be charged a prorated amount for the remainder of your current license year.

Price Changes. We reserve the right to change pricing at any time. Existing annual licenses will not be affected until their next renewal date, at which point we will notify you at least 30 days in advance of any price change.

07 // Refund Policy

Given the nature of software licensing, we generally do not offer refunds after a license token has been issued. However, we will consider refund requests in the following circumstances:

  • A duplicate charge was made in error
  • You contact us within 7 days of initial purchase and have not actively deployed the Software
  • A verified billing error occurred on our part

Refund requests must be submitted to hello@simpleorch.io. We will respond within 5 business days. Approved refunds are processed within 10 business days.

08 // Intellectual Property

SimpleOrch software, including all container images, source code, documentation, trademarks, and related materials, is and remains the exclusive property of MW Consulting. These Terms do not transfer any ownership interest to you.

You retain all rights to your own data, container images, and workloads running on infrastructure managed by SimpleOrch. MW Consulting claims no ownership over content you deploy using the Software.

Feedback, suggestions, or ideas you submit about SimpleOrch may be used by MW Consulting without obligation or compensation to you.

09 // Support

Community Tier. Free tier customers have access to community support only, which includes public documentation and community forums where available. MW Consulting does not provide direct support to free tier customers.

Starter and Pro Tiers. Paid tier customers are entitled to email and ticket-based support. We aim to respond to support requests within 2 business days for Starter and 1 business day for Pro tier customers. Support covers the SimpleOrch software and licensing portal. It does not cover your underlying infrastructure, operating system configuration, network setup, or third-party integrations.

Support is provided in English during US Eastern business hours. We reserve the right to modify support terms with reasonable notice.

10 // Updates and Modifications

MW Consulting may release updates, patches, or new versions of the Software from time to time. Updates are distributed as new container image versions through Docker Hub. You are responsible for applying updates to your deployed environment.

We reserve the right to modify, discontinue, or deprecate features of the Software or Services with reasonable notice. We will not make changes that intentionally break existing licensed deployments without providing a migration path.

11 // Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. MW Consulting expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

MW Consulting does not warrant that the Software will be error-free, uninterrupted, or free of security vulnerabilities. You assume full responsibility for the use of the Software on your infrastructure and for the security of workloads running in your environment.

12 // Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MW Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of data, loss of revenue, loss of profits, or business interruption, arising out of or related to your use of SimpleOrch, even if MW Consulting has been advised of the possibility of such damages.

In no event shall MW Consulting's total cumulative liability to you for any claims arising under or related to these Terms exceed the greater of (a) the total amount you paid to MW Consulting in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

13 // Indemnification

You agree to indemnify, defend, and hold harmless MW Consulting and its owners, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Software or Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property or other rights
  • Any content or workloads you deploy using SimpleOrch

14 // Termination

By you. You may cancel your account at any time through the licensing portal. Cancellation takes effect at the end of your current paid license period. No refunds are issued for unused time on annual licenses except as described in our Refund Policy.

By us. We may suspend or terminate your account immediately and without notice if you materially breach these Terms, including but not limited to license restriction violations, non-payment, or fraudulent use. We may also terminate accounts with 30 days' notice for any reason.

Effect of termination. Upon termination, your license tokens become invalid and the Software will enter read-only mode following the grace period. You remain responsible for removing the Software from your infrastructure. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

15 // Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Virginia. You consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

16 // Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MW Consulting with respect to SimpleOrch and supersede all prior agreements, representations, and understandings. No waiver of any provision of these Terms shall be effective unless in writing.

If you have a separate written agreement with MW Consulting for enterprise licensing or professional services, that agreement governs to the extent it conflicts with these Terms.
